Terms and Conditions of Sale Pure Flexibles, a Division of Greenpack Technology

1. Scope and Acceptance

These Terms and Conditions govern all sales transactions between Pure Flexibles (“Seller”) and its customers (“Buyer”). By placing an order, Buyer agrees to these terms, which shall take precedence over any additional or conflicting terms provided by Buyer. Acceptance of goods or payment constitutes full agreement to these conditions.

2. Pricing and Taxes

All prices are exclusive of applicable taxes, duties, and fees. Buyer is responsible for any sales tax, VAT, customs duties, or other charges imposed by authorities unless a valid exemption certificate is provided.

3. Orders and Payment

  • All orders are subject to Seller’s approval. No order is binding until confirmed in writing by Seller.
  • Payment terms are as specified in the invoice. Late payments may be subject to penalties, including interest charges at the maximum rate permitted by law.
  • Seller reserves the right to withhold shipment or cancel orders if Buyer’s financial status becomes unsatisfactory.

4. Delivery and Risk of Loss

  • Deliveries are FOB Seller’s facility unless otherwise agreed. Risk of loss passes to Buyer upon transfer to the carrier or when available for pick-up.
  • Delivery times are estimates only. Seller is not liable for delays due to unforeseen circumstances, transportation issues, or supply chain disruptions.
  • Partial shipments may be made, and Buyer is responsible for payment upon receipt of each shipment.

5. Acceptance and Returns

  • Buyer must inspect goods upon delivery and notify Seller of any nonconformities within 30 days. Failure to do so constitutes acceptance.
  • Returns require prior authorization and must be shipped in original packaging. Unauthorized returns may be rejected.
  • Custom or special-order products are non-returnable.

6. Warranty and Liability

  • Seller warrants that products will conform to agreed specifications and be free from material defects. Warranty claims must be made within 90 days of delivery.
  • Seller’s liability is limited to repair, replacement, or refund of defective products at its discretion.
  • EXCEPT AS EXPRESSLY STATED, SELLER DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  • IN NO EVENT SHALL SELLER BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTIONS.

7. Intellectual Property and Confidentiality

  • All intellectual property, including trademarks, patents, and trade secrets related to Seller’s products and services, remains the exclusive property of Seller.
  • Any specifications, designs, or proprietary information provided by Seller shall remain confidential and not be disclosed without Seller’s written consent.

8. Compliance and Indemnification

  • Buyer is responsible for ensuring that all purchased products comply with applicable laws and regulations.
  • Buyer agrees to indemnify and hold Seller harmless from any claims, damages, or liabilities arising from misuse, resale, or non-compliance with legal requirements.

9. Force Majeure

Seller is not responsible for delays or failures in performance due to events beyond its control, including natural disasters, labor strikes, supply chain disruptions, or governmental actions.

10. Governing Law and Dispute Resolution

  • These Terms and Conditions are governed by the laws of [Jurisdiction].
  • Any disputes shall be resolved through negotiation. If unresolved, disputes shall be subject to arbitration or litigation in the designated jurisdiction.
  • Both parties waive the right to a jury trial in any dispute arising from this agreement.

11. Modification and Waiver

  • Seller reserves the right to modify these Terms and Conditions at any time. Updated terms will apply to all future transactions.
  • No waiver of any term shall be deemed a waiver of any subsequent breach.
